Fired Azar attorney says he’s owed $590K in commissions

A former top litigator at Frank Azar & Associates accuses the well-known personal injury firm of stealing nearly $600,000 in commissions and bonuses from him after his firing in March 2023.

Sean McCrary, who now runs his McCrary Law Firm, was head of the mass torts practice at Azar’s firm, according to a lawsuit he filed March 17. In that role, he oversaw large lawsuits regarding defective medical devices, along with the firm’s bread and butter: crash cases.

McCrary says that he and Frank Azar met in 2019 and came to a verbal agreement: In lieu of a salary, McCrary would be paid a commission from cases and an annual bonus. The dollar figures would be significant, according to McCrary’s lawsuit, since he was representing 364 clients in defective defibrillator lawsuits and more than 100 in another device case.

McCrary settled nearly all of the cases, along with three car crash lawsuits, before his firing but hasn’t been paid commissions, he says. His lawsuit does not say why he was fired.

At the end of February, McCrary’s lawyer sent Frank Azar a letter demanding $590,000, according to a copy BusinessDen obtained in a records request. When Azar did not respond, McCrary filed a lawsuit against the Azar firm claiming theft of $590,000.

Azar and McCrary did not answer BusinessDen’s requests for interviews last week.

McCrary is represented by Brian Moore of Jester Gibson & Moore in Denver, who previously represented Ivy Ngo, the former head of the class action division at the Azar firm. Azar fired Ngo in 2020 and sued her for trying to lure lawyers away from Azar & Associates. Jurors awarded his firm the nominal amount of $4,000 in 2022, plus $1.2 million in attorney fees.


Judge disbars ‘unscrupulous’ Arvada lawyer who abandoned clients

A state disciplinary judge has ended the Colorado career of an immigration lawyer and ordered her to pay $8,120 to former clients after determining she spent their money on everything from piano tuning to yoga classes, then falsified documents to cover up her misdeeds.

“She is unregulatable,” Judge Bryon Large wrote of the lawyer Lindsay Arroyo on March 4, “and she poses a significant danger to Colorado citizens. She must be disbarred.”

Arroyo, who also goes by Janet Lindsay Richardson-Vargas, has been a lawyer since 2009. She is licensed in New York but worked in Arvada and practiced in Colorado federal courts. She was at her own firm, Arroyo Immigration Services, while running afoul of state ethics rules.

Large’s order, which was released last week, details some of the most egregious wrongdoing by a Colorado lawyer in recent years, a pattern of bad behavior that left her desperate clients in dangerous situations while Arroyo enriched herself from their scant resources.

She “seriously injured her clients, the legal profession and the reputation of lawyers,” he wrote.

In 2017, an undocumented immigrant known in court documents as A.G. paid Arroyo $2,620 to request a waiver that would let him leave the country, visit his dying mother, and reenter the U.S. while his visa application was pending. Arroyo pocketed the $2,620 and didn’t pay A.G.’s visa fees, so his application was denied. He did not see his mom before she died.

“A.G. felt especially harmed because (Arroyo) gave him hope that he could see his mother and family but then betrayed that hope by doing nothing on his case,” Large wrote, noting that A.G. is still seeking lawful residency eight years later and was nervous about testifying at Arroyo’s disciplinary hearing because “he feared that immigration authorities might nab him.”

In 2019, a woman referred to as L.R. scrounged $2,400 from friends and family and paid it to Arroyo. The woman was in an abusive marriage, wanted out and knew that a work visa would help her and her children, ages 11 and 7, walk away. When Arroyo kept the money and failed to file L.R.’s paperwork — or even return it — L.R. had to remain married.

“As a result, L.R. recounted, her two minor children spent more time in the confines of a situation in which they witnessed their mother abused and mistreated,” Large wrote. “L.R. stated that she believes Arroyo takes advantage of people and that her experience with Arroyo has deepened her distrust of lawyers, whom she fears will take her money but again fail to help her.”

Beginning in the fall of 2020, Arroyo used a trust account for her clients’ money “as her personal bank account,” the judge determined. That meant spending clients’ money to pay her rent and car insurance, to cover yoga class fees and city fines, to tune her home piano and host a birthday party for her child. Some of the money paid for a required course on legal ethics.

In 2022, Chase Bank reached out to the Colorado Office of Attorney Regulation to say that Arroyo’s trust account was overdrawn, which shouldn’t happen since it is designed only to hold clients’ money. The office then asked Arroyo for three months of bank statements. Later, when the office subpoenaed Chase, it realized that Arroyo had falsified the statements she sent.

In addition to disbarring Arroyo, the judge ordered her by April 8 to pay $3,100 to L.R., $2,620 to A.G. and $2,400 to a third client she abandoned. Arroyo did not participate in the disciplinary proceedings and did not answer BusinessDen’s requests to comment.

“Undocumented immigration clients are generally considered the epitome of vulnerable victims,” Large explained. “(Arroyo)’s clients testified about their unsettled immigration status, which left them particularly vulnerable to predations from unscrupulous individuals — like her.”

Josh Fine may be living in Israel, but he’s got work to do in Denver.

Fine launched Kadima Law in March after a 15-year tenure with local developer Focus Property Group. The new law firm is looking to assist real estate firms with their transactions, leases and developments – with a twist. 

“We don’t know anybody else that’s doing this in commercial real estate,” said Fine, 49. 

The Harvard Law graduate is teaming up with two other Denver lawyers living in Israel to run the business that provides “fractional in-house counsel” to real estate players. Instead of hourly billing, clients pay by the month or the project. 

“Soup to nuts. You want to purchase land or a building, and you want to build or improve or value-add, or you want to lease or sell your building or your land. There’s lots of components of that, and between the three of us, we can help with all that,” he said.

The trio at Kadima, which means “forward” in Hebrew, includes former Brownstein lawyer Hirsch Neustein and Brent Eisen, who used to work in the Denver City Attorney’s Office.

The business has its Denver office in the Enterprise Coworking space at 3000 Lawrence St. in RiNo, a building that Fine helped redevelop with his former firm. Though the three live thousands of miles away, at least one of them is usually around town.

“We’ll just be efficient … not have the overhead of a 17th Street rent and 17th Street office,” Fine said.

Fine moved to Israel shortly before the pandemic, leaving Focus as its president in 2022. He started off as legal counsel and grew into a leadership role over time. 

One of his proudest accomplishments: redeveloping a city landmark from the 1860s at 1999 Chestnut Place. The building is the oldest remaining firehouse in town. Focus turned it into a restaurant space that accompanies the 12-story hotel the firm built next door. 

“The bulk of my career has been in-house and in a very entrepreneurial, small real estate business where we are putting together deals. We did some amazing projects, but we had to be very cognizant of project expenses. We’re not like a massive REIT with hundreds of millions to spend on legal fees,” Fine said.

“That’s kind of how I grew up, and that’s how I’m approaching the service [Kadima].”

He met partners Neustein and Eisen through Denver’s Jewish community. The seeds for the business were planted when Fine and Neustein met up in Israel, talking shop. 

Both shared their frustrations with the state of the legal world in real estate. The unpredictability of hourly legal fees made it challenging for developers to math out their finances. The frustration of long-running back-and-forth discussions on leases and sales ballooned costs to the point where the lawyers cost more than whatever their client was able to win in the negotiations.

“When Hirsch and I were talking, it was as if we were all speaking the same language,” Fine said.

In its first few weeks of operations, Fine said his business has already picked up a few clients, mostly from their real estate network. 

“Had a firm like ours existed where I could have hired a fractional in-house counsel to be our on-call attorneys for subscription – I would have jumped on that,” Fine said.

Azar firm says ex-employee uses Google ads to poach its clients

Fresh off a $1.5 million victory in a similar case, Frank Azar & Associates is suing a rival firm in the city for allegedly buying Google ads to divert would-be Azar clients elsewhere.

Last fall, Michael “Alabama Hammer” Slocumb agreed to pay a $1.6 million settlement to Frank “Strong Arm” Azar’s firm after a two-year legal dispute. Azar accused Slocumb of buying Google keywords to ensure that Slocumb’s firm appeared when people searched for Azar, then failing to correct clients’ misconceptions when they called seeking the Azar firm.

“They pick on the big TV advertisers,” Azar told the Denver Post in December. “Because people see their ad, they go to Google to get the phone number and they misclick. And then all the sudden, boom, they’re getting this other law firm that they don’t know anything about.”

Now Azar is taking issue with a similar practice close to home. On March 28, he sued Dominic Genco and his Genco Injury Attorneys, which has offices in Denver and Aurora. Genco launched his own firm in 2022 after a decade as an attorney at Azar & Associates.

“We are unlike the law firms you see advertised on TV who treat everyone as a number,” the Genco firm’s website states. “We like to build personal relationships with each client.”

Both the Azar firm and Genco firm pay for Google keywords, which ensure that their ads appear when people search for certain words. But Azar claims that Genco goes beyond the pale. He bids for Azar’s name, forcing Azar to pay more for his own keyword, and also buys Google ads that say “Frank Azar and Associates” but send people to the Genco firm’s website.

“At the direction of Dominic Genco, prospective clients of Azar are intentionally tricked and deceived into doing business with Genco,” Azar & Associates’ lawsuit alleges.

That lawsuit, which accuses Genco and his firm of trademark infringement and false advertising, among other claims, does not estimate how much money Azar & Associates has supposedly lost to Genco. In the Slocumb case, Azar claimed damages of about $19 million.

“Mr. Genco takes these allegations seriously and intends to defend this lawsuit vigorously,” said his attorney, Carl Hjort from Robinson Waters & O’Dorisio in Denver. “However, as this is an ongoing legal matter, we will not be providing further comment at this time.”

Azar & Associates is represented by a trio of former Sherman & Howard lawyers who are now in the Denver office of the Taft firm, plus two attorneys with Martinez Law Group.

A Denver defense attorney will soon lose his law license for three years after admitting that he used more than $70,000 in client cash to pay his bills and those of his law firm.

Adam Tucker, a Sturm College of Law alum who has been practicing in Colorado for 22 years, has until June 13 to wrap up dozens of client matters and begin his suspension.

“The sanction was unnecessary and was excessive based on his conduct,” his attorney, David Kaplan with the Denver firm Stimson LaBranche Hubbard, said of the punishment.

Tucker spent time as a public defender and at Springer & Steinberg before starting his own law firm in Denver in 2013. Tucker Legal Group later became Tucker Grosgebauer.

As 2023 turned to 2024, both Tucker and his firm were stressed financially, according to an agreement that he signed with the Colorado Office of Attorney Regulation on April 7. Tucker had gone through a divorce and was trying to grow his firm with experienced lawyers.

So, he began spending money that wasn’t his. Clients paid him $69,000 in December 2023 and he earned $32,375 of that, meaning there should have been $36,625 in the firm’s trust account on New Year’s Day. Instead, there was only $1,000, Tucker admitted last week.

The next month, another $21,000 went missing. All told, more than $70,000 was mishandled.

“(Tucker) admits that he knowingly took unearned funds out of the firm’s trust account to satisfy law firm and personal expenses. His withdrawals were based on his financial needs and the financial needs of the firm, rather than what funds were earned,” he acknowledges.

He later replenished the trust account in January of this year, before any clients noticed but after the Office of Attorney Regulation, which investigates lawyers here, was made aware.

“(Tucker) was unusually candid in describing his misconduct and his motivation,” according to the April 7 agreement, which notes his “strong reputation in the criminal defense community” and lack of prior discipline. “(Tucker) is remorseful for his conduct and recognizes that while no clients noticed any missing funds, he placed client funds and client trust at risk.”

Disbarment is the most common punishment when Colorado lawyers spend client funds, the agreement notes. But the Office of Attorney Regulation urged a lighter punishment.

“While (Tucker)’s misconduct is serious, no clients suffered actual harm,” the office wrote.

State Disciplinary Judge Bryon Large agreed and handed down a suspension on April 11.

“Mr. Tucker is an excellent lawyer, well thought of for his legal abilities,” said Kaplan, “and the allegations have nothing to do with the quality of his representation — that was always top grade — and nothing to do with any of his clients receiving less than excellent service for the money that they provided. There were no allegations that he did not fulfill all of his obligations to each of his clients. Each of his clients got the representation that they contracted for.”

A judge has ordered the co-owner of a Cherry Creek IT firm not to cash a nearly $300,000 check for fear that it will wreck the company while its founders squabble in court.

“LucidPoint has demonstrated that (Kevin) Seba’s conduct is causing and will continue to cause immediate and irreparable injury to LucidPoint,” Judge Robert Lung ruled May 12.

LucidPoint, at 44 Cook St., handles cloud consulting and computer hardware needs for business clients. It was formed in 2017 by Mike Fontaine, of Denver, and Seba of Littleton. Fontaine and Seba each hold 50% of the voting shares of the company.

In December, Seba sued Fontaine and LucidPoint, accusing his business partner of running an “oppressive, if not fraudulent” racket “to enrich himself using company assets while at the same time damaging the value of the company and the value of Mr. Seba’s shares.”

Seba claims that Fontaine calls his scheme Greater Than Ezra, a reference to the rock band Better Than Ezra. One fan theory for the band’s name is that its members wanted to be named Ezra but, upon learning of another band named Ezra, called it Better Than Ezra.

Seba alleges that Fontaine and an accountant plan to steadily increase Fontaine’s salary to $500,000 per year and then move LucidPoint’s assets to a new company — similar, but greater than, LucidPoint — leaving Seba with half of a worthless firm. Fontaine denies that.

Fontaine is countersuing Seba for extreme and outrageous conduct, among other claims. He says that Seba illegally accessed LucidPoint’s payroll system to decrease Fontaine’s pay by 44%, and has been reading employees’ emails and eyeing their calendars.

In the midst of this contentious court case, on May 7, Seba had FirstBank issue two cashier’s checks from LucidPoint to its co-owners. Fontaine’s check was for $306,000 and Seba’s for $294,000. Fontaine, who did not approve of the distributions and has not cashed his check, immediately asked Judge Lung in Castle Rock to bar Seba from cashing his.

LucidPoint’s bank account has $1.8 million in it, leaving it underfunded by $1 million, Fontaine told the judge. It needs to cover two payroll periods this month and another $2.9 million in bills. Plus, a major client may be owed $2 million from LucidPoint, Fontaine explained.

“Missing payroll would be disastrous because (LucidPoint) employees are already aware of and concerned by the ongoing litigation,” Fontaine and LucidPoint told Lung on May 9.

Seba took issue with the emergency motion “where there is no emergency,” called it “the height of hypocrisy,” and said that “Fontaine’s bad acts should not be further rewarded.”

“After months of declaring that a 50% shareholder, director and officer is free to do whatever he wishes with the company bank account, and months of happily violating the company’s governing documents so long as it enriched him, Mr. Fontaine now seeks to block Mr. Seba from causing LucidPoint to issue standard distributions,” Seba’s lawyers wrote.

But Lung sided with Fontaine. In his order, he noted that “LucidPoint’s bank account does not have enough money currently to cover upcoming payroll for the month or the more than $2.9 million in bills due.” He prohibited Seba from cashing his check for two weeks.

“Mr. Seba has complied with the order,” said Colin Moriarty, an attorney for the co-founder, “and looks forward to a full determination on the merits of the underlying disputes.”

Seba’s lawyers are Thomas Walsh III from the T. Walsh Law Firm in Greenwood Village and Moriarty with the firm Moriarty Underhill, which is also in Greenwood Village.

Fontaine’s lawyers are Peter Gergely, Ryan Fletcher, Kristen Souther and Alana LeFebvre with Merchant & Gould in Denver. They and Fontaine declined to comment.
